Terms of service

These describe the product as it is built. Where they say a limit is enforced, or that the agent never acts on its own, that is what the software does rather than an intention — and it is worth reading on those terms.

Who this is between

This agreement is between Yubiera Technologies LLP ("we", "us") and the business that opens a workspace ("you"). It starts when you create a workspace or pay for one, whichever happens first, and continues until either side ends it.

If you are agreeing on behalf of a business, you are confirming you may bind it. The person who signs up becomes the workspace's first administrator and can add everybody else.

Your workspace

  • The workspace name is permanent. It becomes the name you and your staff type on the sign-in page and the name your data is stored under. It is taken from your business name and cannot be changed afterwards, so choose it deliberately.
  • You are responsible for everybody you let in. Their actions in your workspace are yours, and removing somebody's access when they leave is your job — we cannot know they have.
  • Keep your credentials to yourself. We never ask for a password and never send one; anybody who does is not us. Tell us at once if you think an account has been taken.
  • One business, one workspace. A workspace is for the business that opened it. Reselling access, or running somebody else's business inside your workspace, needs an arrangement with us first.

Plans and limits

Every plan runs the whole product. What separates them is how much of it you may hold and which capabilities are included — users, locations, products, orders a month, outgoing emails a month, AI credits, WhatsApp automation and priority support. The current figures are on the pricing page, and they are the ones the software enforces.

Limits are enforced rather than advisory. Creating an order, a user, a location or a product past your plan's limit is refused, and the refusal says which resource, what the limit is and how much of it is used. Nothing of yours is deleted for being over a limit, and you are warned before the wall rather than at it.

Four things deliberately do not count against a limit: returns, because refusing a return over a quota would be indefensible; products you have made inactive and users you have deactivated, so there is a way back under a limit that does not involve destroying data; and email that verifies an address or resets a password, because that is how somebody reaches the workspace they are being asked to pay for.

Moving to a smaller plan is blocked while you are over its limits. We will tell you exactly what to reduce first. We will not take the money and then refuse the work.

Paying

  • Prices are in Indian rupees and exclude tax, which is added and itemised before you pay. The total is shown on the checkout screen before anything is charged.
  • We do not take money by ourselves. There is no auto-debit and no standing mandate. Each period is a payment you make against a link, and we write to you before one is due.
  • A payment buys a period — a month or a year — starting when it is received. Paying yearly costs less per month; the discount is whatever the pricing page says at the time you buy.
  • The gateway takes the payment. We never see or store your card details.
  • If a period ends unpaid, the workspace is suspended, not deleted. Your data stays exactly as it is and comes back when you pay. We will tell you before it happens.
  • Stopping. You can stop at any time by not renewing, and you keep access until the period you have paid for ends. Payments already made are not refunded except where the law requires it — but if something has gone wrong, write to us rather than assuming this line is the end of it.
  • A trial, where one is offered, ends on the date shown in your workspace. Nothing is deleted and nothing is billed when it does; the software stops answering until you choose a plan.

Your data

What you put into Invologs is yours. We do not claim any ownership of it. We process it to run the software for you, and for nothing else — we do not sell it, mine it, or use it to train anything.

You are responsible for what you record and for having the right to record it. If you keep your customers' details in Invologs, you are the one who answers to them for it. If you send marketing through Invologs, you are the one who has to be able to show it was asked for; the software records and honours a consent flag, and obtaining the consent is yours.

You can export your data while your workspace is open, and you can ask us for it. If you end the agreement, ask us before you go — once a workspace is deleted at your request it is gone.

The privacy policy sets out what we hold and who else sees it, and forms part of these terms.

Acceptable use

Do not use Invologs to:

  • break the law, or help somebody else to;
  • send messages the recipient did not ask for, whether by email or on WhatsApp — the channels are yours to use and the consent is yours to have;
  • store data you have no right to hold, or upload a document you have no right to supply for processing;
  • attack, probe or overload the service, or attempt to reach another workspace's data;
  • resell the software, or run it as a service for somebody else, without an arrangement with us.

We may suspend a workspace immediately where continuing would break the law, endanger other customers, or threaten the service — and we will tell you why.

Integrations

Payments, WhatsApp, email and image hosting are switched on per workspace with your own accounts and your own credentials. Those providers' terms apply to you directly and we are not a party to them. Meta bills you for WhatsApp conversations; your payment gateway takes its own fees from your takings. If one of them changes its rules or its prices, that is between you and them, and we will tell you what we know.

The AI layer

  • It reads and recommends. It never acts. Nothing the agent proposes is carried out by the software; a person decides, every time. Do not treat what it produces as an instruction that has already been followed.
  • It can be wrong. It works from your data and says so when it cannot know something, but it is not accounting, tax or legal advice, and a figure it produces is not a substitute for your own records.
  • Deterministic monitoring is included on every plan. The system notices things for nothing; explaining why is what a paid plan adds.
  • Credits are consumed by work you or a monitor requested, at the prices published in the product. An allowance resets monthly; credits you buy carry over.
  • No customer identity is sent to the AI provider, with the single exception of a document you upload — see the privacy policy, which explains why and what you are confirming when you upload one.

Availability and support

We aim to keep Invologs available and we do not promise a particular uptime figure — one written here that we did not measure would be worth nothing to you. We will give notice of planned maintenance where we can.

Support is by email at support@invologs.com. Business and Enterprise carry priority support, which means your questions are answered first, not that a particular response time is guaranteed.

Ending it

You can end this at any time by telling us, and access continues to the end of the period you have paid for.

We can end it with reasonable notice, or immediately if you break these terms in a way that cannot be put right, if payment is long overdue after we have asked, or if we are required to. If we end it for our own convenience, we will refund the unused part of what you have paid.

When it ends, your workspace is deactivated and we keep it for six months, so you can ask for an export in that time and so a business that comes back finds its own history intact. After six months the personal data in it is deleted, permanently and not recoverably — your customers' names, contact details and addresses, the accounts of everybody who had access, and any documents uploaded to it. Ask us to delete it sooner and we will.

We keep our own record of what we charged you and the tax invoices we issued you for longer, because tax law requires it. Those are our records, not your workspace's, and they contain nothing from inside it. The privacy policy says the same thing in more detail.

Liability

Invologs is provided as it is. We do not warrant that it will be uninterrupted or error-free, and we are not responsible for a failure of one of the third-party services above.

Keep your own records. Invologs holds your business data, and you should still be able to survive losing us — export regularly, and keep what your own tax and accounting obligations require you to keep, independently of us.

Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. Our total liability to you, for everything, is limited to what you paid us in the twelve months before the claim. Nothing here limits liability that cannot be limited by law — including for fraud, or for death or personal injury caused by negligence.

You will cover us against claims arising from data you put into Invologs that you had no right to hold, and from messages you sent through it that the recipient had not agreed to receive.

Changes

We may change these terms, and the date at the top changes with them. If a change materially affects you, we will tell the workspace's administrators by email before it takes effect. If you do not accept it, you may stop and we will refund the unused part of the period you have paid for.

Prices can change. A change never applies to a period you have already paid for, and we will tell you before the next one.

Law

This agreement is governed by the laws of India, and disputes are subject to the courts at Ernakulam, Kerala, India. If a clause turns out to be unenforceable, the rest stands.
